Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CashBack Invest Global ("CBIG," "we," "our," or "us") governing your access to and use of the CBIG website at cashbackinvestglobal.com, our mobile application, and all related services, features, and content (collectively, the "Platform").

By creating an account, accessing, or using the Platform in any manner, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, have read and understood these Terms, and agree to be bound by them. If you are using the Platform on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

Important Notice — Pre-Launch Status. CBIG is currently in a pre-launch pilot phase. The investment features, collective pooling mechanisms, and Cashback Reward investment capabilities described in these Terms are forward-looking and represent the intended functionality of the Platform upon full commercial launch. During the pilot phase, certain features may be limited, modified, or unavailable. We will communicate clearly about which features are live and which are in development.

CBIG is a fintech platform designed to transform everyday Cashback Rewards earned through qualifying purchases at Partner Merchants into collective micro-investments. The Platform operates on a model we call the Reserve-Less Dynamic Offset model, under which Cashback Rewards are pooled and collectively invested on behalf of participating users, with a mandatory 30-day withdrawal lock applied to all newly credited Cashback Rewards.

Cashback Rewards. When you make a qualifying purchase at a Partner Merchant, you earn a Cashback Reward. Cashback Rewards are not bonuses, promotional credits, or referral incentives — they are a return of a portion of your purchase price, consistent with standard cashback reward practices. Cashback Rewards are generally not considered taxable income under U.S. federal tax law; however, you are solely responsible for understanding and complying with your own tax obligations.

30-Day Withdrawal Lock. All newly credited Cashback Rewards are subject to a mandatory 30-day lock period from the date of crediting. During this period, the locked Cashback Rewards may be allocated to collective investment pools but may not be withdrawn, transferred, or redeemed. This lock serves as a functional safety mechanism consistent with our Reserve-Less Dynamic Offset model. After the 30-day period has elapsed, your Cashback Rewards become freely available for withdrawal or continued investment.

Collective Investment. Pooled Cashback Rewards are collectively invested in diversified investment instruments as determined by CBIG's investment management processes. Investment returns, if any, are distributed to participating users on a pro-rata basis. Past performance of any investment does not guarantee future results. All investments involve risk, including the possible loss of principal.

Not Investment Advice. Nothing on the Platform constitutes personalised investment advice, a recommendation to buy or sell any security, or a solicitation to invest. CBIG does not act as a registered investment adviser under the Investment Advisers Act of 1940 with respect to individual users. You should consult a qualified financial adviser before making any investment decisions.

To access most features of the Platform, you must create an account. When registering, you agree to provide accurate, current, and complete information and to update your information as necessary to keep it accurate and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately at [email protected] if you suspect any unauthorised access to or use of your account. CBIG will not be liable for any loss or damage arising from your failure to comply with these security obligations.

You may not create more than one account per person. You may not transfer your account to any other person or entity without our prior written consent.

Businesses may apply to become Partner Merchants through the merchant application process on the Platform. Acceptance as a Partner Merchant is at CBIG's sole discretion. By submitting a merchant application, you represent that the information provided is accurate and complete, and you authorise CBIG to verify the information provided.

Approved Partner Merchants agree to honour the Cashback Reward rates agreed upon with CBIG, to provide accurate transaction data to enable Cashback Reward processing, to remit the applicable Cashback Reward amounts to CBIG on behalf of qualifying customers in accordance with the agreed batch processing schedule (daily, monthly, or upon reaching a minimum transfer threshold), and to comply with all applicable laws and regulations in connection with their participation in the programme.

CBIG reserves the right to suspend or terminate a merchant's participation in the programme at any time for breach of these Terms, failure to remit Cashback Reward amounts, or for any other reason at CBIG's sole discretion.

CBIG may offer a referral programme under which existing users may invite others to join the Platform. Referral rewards, if offered, are promotional credits and are not Cashback Rewards for tax purposes. CBIG reserves the right to modify, suspend, or terminate the referral programme at any time. Fraudulent referrals, self-referrals, or any attempt to manipulate the referral programme will result in the forfeiture of all referral credits and may result in account suspension.

You agree not to engage in any of the following conduct in connection with the Platform:

Using the Platform for any unlawful purpose or in violation of any applicable law or regulation. Attempting to gain unauthorised access to any portion of the Platform, other user accounts, or any systems or networks connected to the Platform. Interfering with or disrupting the integrity or performance of the Platform. Uploading, transmitting, or distributing any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable. Attempting to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Platform. Using automated scripts, bots, or other automated means to access or interact with the Platform. Creating fictitious accounts, providing false information, or impersonating any person or entity. Engaging in any activity that could damage, disable, overburden, or impair the Platform's servers or networks. Attempting to manipulate Cashback Reward balances, referral credits, or investment returns through fraudulent means.

CBIG reserves the right to investigate and take appropriate legal action against anyone who violates these prohibitions, including removing offending content, suspending or terminating accounts, and reporting to law enforcement authorities.

The Platform and all content, features, and functionality — including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, software, and the compilation thereof — are owned by CBIG or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal, non-commercial use in accordance with these Terms. This licence does not include the right to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Platform, except as incidental to normal use of the Platform.

The CBIG name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of CBIG. You must not use such marks without our prior written permission.

Investment Risk Disclosure. Investing involves risk. The value of investments can go down as well as up, and you may receive back less than you invest. Past performance is not a reliable indicator of future results. Cashback Rewards invested through the Platform are subject to market risk, liquidity risk, and other investment risks. The forward-looking investment features described on the Platform are intended to represent the Platform's capabilities upon full commercial launch and should not be construed as guarantees of future performance or returns.

Platform Provided "As Is." THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. CBIG DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Forward-Looking Statements. Certain statements on the Platform regarding CBIG's business model, projected returns, and platform capabilities are forward-looking in nature. These statements involve known and unknown risks, uncertainties, and other factors that may cause actual results to differ materially from those expressed or implied. CBIG undertakes no obligation to update forward-looking statements to reflect events or circumstances after the date they are made.

Regulatory Status. CBIG is not a registered broker-dealer, investment adviser, or money services business. The Platform is designed to facilitate the collective investment of Cashback Rewards, not to provide personalised investment advice or to act as a custodian of client funds in the traditional sense. Users should be aware that the regulatory landscape for fintech platforms is evolving, and CBIG's operations may be subject to future regulatory requirements.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CBIG, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF CBIG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CBIG'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF CASHBACK REWARDS CREDITED TO YOUR ACCOUNT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY FOR CERTAIN TYPES OF DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.

You agree to indemnify, defend, and hold harmless CBIG, its affiliates, and their respective directors, officers, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Platform, your User Content, or your violation of any rights of another person or entity.

CBIG may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice, for conduct that CBIG believes violates these Terms or is harmful to other users, CBIG, third parties, or the public, or for any other business reason.

You may terminate your account at any time by contacting us at [email protected]. Upon termination, your right to use the Platform will immediately cease. Any Cashback Rewards that are not subject to the 30-day withdrawal lock at the time of termination will remain accessible to you in accordance with CBIG's then-current withdrawal procedures. Cashback Rewards subject to the lock at the time of termination will be handled in accordance with CBIG's then-current termination procedures, which we will communicate to you upon request.

Sections 7 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 12 (Dispute Resolution), and 14 (General Provisions) shall survive termination of these Terms.

Informal Resolution. Before initiating any formal dispute resolution process, you agree to contact us at [email protected] and provide a written description of the dispute, the relief sought, and your contact information. We will attempt to resolve the dispute informally within sixty (60) days of receiving your notice.

Binding Arbitration. If the dispute is not resolved informally, you and CBIG agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

Class Action Waiver. YOU AND CBIG AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

Exceptions. Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email and by posting a prominent notice on the Platform at least thirty (30) days before the changes take effect. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Platform before the effective date.

Entire Agreement. These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and CBIG regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. No failure or delay by CBIG in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy.

Assignment. You may not assign or transfer your rights or obligations under these Terms without CBIG's prior written consent. CBIG may assign its rights and obligations under these Terms without restriction.

Force Majeure. CBIG shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, fuel, energy, labour, or materials.
